About these terms
These terms apply when you use this website, buy a digital product from us, or engage Shunya Systems for services. For service engagements, the proposal or agreement you sign with us takes precedence where it differs from these terms. Shunya Systems. Registered office: 71, Village Jarangi, Post Bakhri Kesho, P.S. Services
Scope, deliverables, timelines and fees for each engagement are set out in a written proposal or agreement. Work outside that scope is quoted separately before it starts. Each design stage includes up to two rounds of revisions; further rounds, and changes after a stage is approved, are quoted separately.
Fees and payment
Work starts once the advance is received. Service engagements are billed against milestones, as set out in the agreement. Invoices are raised in Indian rupees unless agreed otherwise, with GST added where applicable. Go-live, source code and admin handover take place once the balance is paid. If an invoice is unpaid past its due date, we may pause work, and suspend hosting or maintenance we provide, until it is settled.
Your responsibilities
You agree to provide the information, content, access and approvals the engagement needs, on time, and to confirm that you have the right to share any material you give us.
Intellectual property
Ownership of custom work, including designs and themes made for you, transfers to the client on full and final payment, unless stated otherwise in the engagement agreement. Until then, all rights in the work remain with Shunya Systems. We keep ownership of our pre-existing tools, libraries and know-how, and grant you a licence to use them as part of the delivered work. Open-source components remain under their own licences. Unless you ask us in writing not to, we may show the finished work in our portfolio.
Digital products
Themes, templates and other digital products are licensed, not sold. Unless the product page says otherwise, a licence covers use on one website or project, and you may not resell or redistribute the product. Refunds follow our Refund Policy.
Confidentiality
Each party keeps the other’s confidential information private and uses it only for the engagement.
Warranty
We carry out work with reasonable skill and care, and fix defects in delivered work that are reported within the warranty period in the agreement. We do not guarantee specific business results, search rankings or third-party platform approvals.
Third-party services
Hosting, app stores, payment gateways, APIs and other third-party services are governed by their providers’ own terms, and their availability is outside our control.
Liability
Our liability is limited to the fees paid for the engagement in question. Neither party is liable for indirect or consequential losses such as lost profits or data, to the extent the law allows.
Termination
Either party may end an engagement as set out in the agreement. Work completed or in progress up to the end date is payable, and any refund follows our Refund Policy.
Use of this website
Do not misuse the site, attempt to access it without authorisation, or interfere with its operation.
Governing law
These terms are governed by the laws of India, and disputes are subject to the jurisdiction of the competent courts in India.
